1. Agreement to Terms

These Terms and Conditions ("Terms") are an agreement between you and Phasr Inc. ("Phasr", "we", "us", or "our") for your access to and use of the Phasr website, desktop application, open source project, and related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.

2. Eligibility

You must be at least 16 years old to use the Services. By using Phasr, you represent that you meet this requirement and have the authority to accept these Terms.

3. Accounts and Access

Some parts of the Services may require an account or third-party authentication. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for activity that occurs through your account.

You agree to notify us if you believe your account has been accessed without authorization. We may suspend or terminate access if an account is used in a way that violates these Terms.

4. Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for personal, development, or internal business purposes.

Phasr is designed to help developers orchestrate AI coding agents, manage local workspaces, review generated code, and work with repositories and related developer tools.

5. Prohibited Conduct

You agree not to:

  • Use the Services in violation of applicable laws or regulations.
  • Attempt to access systems, accounts, repositories, or data that you are not authorized to access.
  • Interfere with, disrupt, or degrade the integrity, security, or performance of the Services.
  • Transmit malware, malicious code, or content intended to compromise systems or data.
  • Use the Services to infringe or misappropriate intellectual property, privacy, or other rights.
  • Resell, sublicense, or redistribute the Services except where an applicable open source license expressly allows it.
  • Remove or obscure proprietary notices, license notices, or attribution required by the Services or included open source components.

6. Your Content and Repositories

You retain ownership of code, repositories, projects, prompts, outputs, workspace materials, and other content that you create, submit, connect, or process through the Services.

You are responsible for ensuring that you have the rights and permissions needed to use your content with Phasr and any third-party tools, models, or platforms connected to your workflow.

7. Intellectual Property

Except for your content and open source components, the Services, including our software, website content, product design, branding, and related materials, are owned by Phasr Inc. or our licensors and are protected by intellectual property laws.

These Terms do not transfer ownership of Phasr intellectual property to you. You may use the Services only as permitted by these Terms and any applicable license terms.

8. Open Source Components

The Services may include or interact with open source software. Open source components are governed by their own license terms, and nothing in these Terms limits rights you may have under those licenses.

If there is a conflict between these Terms and an applicable open source license for a specific component, the open source license controls for that component.

9. Third-Party Services

Phasr may integrate with or link to third-party services, including AI model providers, source control platforms, IDEs, package registries, cloud services, and command-line tools.

Your use of third-party services is governed by their own terms and policies. We are not responsible for third-party services, their availability, their content, or how they handle your data.

10. Payments and Subscriptions

Some features may require payment in the future. If you purchase a paid plan or subscription, you agree to pay the fees shown at the time of purchase and any applicable taxes.

Subscriptions may renew automatically unless cancelled before renewal. Pricing and plan details may change with reasonable notice, and refunds will be handled according to the policy presented at purchase or as required by law.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, secure, error-free, or that generated code, agent output, integrations, or workflow results will meet your requirements. You are responsible for reviewing and validating outputs before relying on them.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHASR INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL ARISING FROM OR RELATED TO THE SERVICES.

To the maximum extent permitted by law, our total liability for any claim related to the Services or these Terms will not exceed the amount you paid to Phasr for the Services in the twelve months before the claim arose.

13. Indemnification

You agree to defend, indemnify, and hold harmless Phasr Inc. and its officers, directors, employees, contractors, and agents from claims, damages, liabilities, losses, and expenses arising from your use of the Services, your content, your violation of these Terms, or your violation of another party's rights.

14. Termination

You may stop using the Services at any time. We may suspend or terminate access to the Services if we believe you have violated these Terms or if continued access creates risk for Phasr, other users, or third parties.

After termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will continue to apply.

15. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date on this page. Your continued use of the Services after changes become effective means you accept the updated Terms.

16. Severability

If any part of these Terms is found to be invalid or unenforceable, that part will be limited or removed to the minimum extent necessary, and the remaining Terms will continue in effect.

17. Entire Agreement

These Terms make up the entire agreement between you and Phasr Inc. regarding the Services and replace any prior or contemporaneous agreements about the same subject matter.
